This is a draft for review by counsel. It is not in effect yet.
Who these terms are with
These terms are between you and Surf Platforms Inc. for Helio Education, also called Helio AI or Helio Edu. They cover the helio.education website and the learning service. The privacy policy explains how we handle information.
These terms apply when they take effect and you create an account or use Helio. If you use Helio for a school with a signed agreement, that agreement controls where it conflicts with these terms.
Accounts
Adults may create parent, adult learner or authorized school staff accounts. Keep your sign-in details private, provide accurate account information and tell us if an account is used without permission.
A parent or school creates a child's account and is responsible for giving the required permission and supervising appropriate use. A child must not create an adult account to bypass these steps.
Plans and payment
- Consumer paid plans renew monthly or yearly, as shown at checkout, until canceled. Stripe processes payment. The checkout page shows the price and billing interval before purchase.
- Cancel through the billing page at any time. Cancellation stops the next renewal; paid access continues through the current billing period. A yearly plan continues through its paid year.
- An upgrade may start and be charged immediately after you confirm the amount shown. A downgrade or a change from yearly to monthly starts at the end of the current billing period. We will give notice before a price change applies to a future renewal.
- Plans include shared monthly session minutes, daily learner limits, session limits and seat counts shown on the pricing page. Monthly minute allowances reset each month, including on yearly plans, and unused minutes do not roll over.
- Canceling does not automatically refund the current period. Contact support@helio.education about a billing error or refund request; any refund rights under applicable law still apply.
License to use Helio
While your account is active and you follow these terms, we give you a limited, personal, nonexclusive, nontransferable license to access and use Helio and its software for learning or authorized teaching. Helio and its software, design and content remain ours or our licensors'.
You may not resell access, copy or distribute the software or lesson library, reverse engineer the service except where law permits, or use automated access that harms the service. This license ends when your right to use Helio ends.
Your work and feedback
You keep any rights you have in work you submit. You are responsible for having permission to submit it, including school material. We may create lesson explanations and feedback in response; use them for your own learning or authorized teaching, subject to others' rights.
You allow us to process submitted work only as needed to provide, secure and support Helio and as described in the Privacy Policy. This does not give us permission to train AI models on a child's work; that requires separate parental permission.
Using Helio
Use Helio for lawful learning and teaching. Treat other users respectfully and follow the rules set by your school or family account holder.
Do not try to access another person's account or data, disrupt or test the service without permission, upload harmful code or unlawful material, or use Helio to build a competing service from its outputs or content.
Safety and account security
You must protect account credentials and use Helio only with people you are authorized to add. We may restrict sessions or accounts when needed to protect learners, investigate abuse, comply with law or prevent harm to the service. We will give notice when reasonably possible.
Helio's answers
Helio uses AI and a synthetic tutor voice. Its explanations, checks, assessments and feedback can be wrong or incomplete. We do not guarantee grades, test results, admission, learning gains or that Helio meets a particular curriculum. Review important answers with a qualified teacher or other reliable source. Helio is an educational aid, not an emergency, medical or mental health service.
Schools
A school or district may have a separate written agreement with us. That agreement controls where it conflicts with these terms for school use. School staff must have authority to use Helio for their school.
Other services
Helio uses outside providers to run speech, AI, hosting, email and billing. Their systems may sometimes be unavailable or change. Your separate use of a third-party site or payment portal is subject to that provider's own terms. Our privacy policy explains how we share information with providers that serve Helio.
Ending
You can request account closure at any time. We may suspend access to protect users or the service, or end access for a material breach, with notice when reasonably possible. We may also discontinue a feature with appropriate notice.
Closing an account and canceling a subscription are separate actions. See the Privacy Policy for how to request data deletion and what may be retained.
Limits
We work to keep Helio available and accurate, but do not promise uninterrupted service or error-free answers. To the extent allowed by law, the service is provided without implied warranties. Nothing here limits rights that law does not allow us to limit.
To the fullest extent allowed by law, Surf Platforms Inc. and its suppliers are not liable for lost profits, lost data, or indirect, special, incidental, consequential or punitive damages arising from Helio, even if warned they might occur.
To the fullest extent allowed by law, our total liability for any claim arising from Helio is limited to the greater of the amount you paid us for Helio during the 12 months before the event giving rise to the claim or $100. For a school, the signed school agreement controls this limit.
These limits do not apply where law forbids them. They do not limit liability for our fraud, willful misconduct or other liability that cannot be excluded. They also do not reduce any nonwaivable consumer or privacy rights.
Claims caused by misuse
If you use Helio for a business or school without a separate agreement, you agree to defend and reimburse us for third-party claims caused by your unlawful content, misuse of Helio or material breach of these terms. This does not apply to a child or limit rights that law protects.
Events beyond our control
We are not responsible for delays caused by events we cannot reasonably control, such as major network failures, natural disasters or government actions. We will make reasonable efforts to restore service and meet duties that law does not allow us to suspend.
Changes to these terms
We will post updated terms and give notice of material changes before they take effect when required. If you do not agree to new terms, stop using Helio and cancel any paid plan before its next renewal.
Questions and disputes
Please contact support@helio.education first with questions, billing issues or a dispute so we can try to resolve it. These terms do not take away consumer rights that apply where you live.
Before these terms take effect, the governing state and courts must be identified after company and counsel review. Your nonwaivable local consumer rights will still apply.
Other legal terms
If one part of these terms cannot be enforced, the rest still applies. Our failure to enforce a part once is not a waiver. You may not transfer an account without our consent. We may transfer these terms with the service, subject to applicable law. These terms and any signed school agreement are the full agreement about Helio.
